2."الهدية" *

أي شيء ذو قيمة، بما في ذلك - على سبيل المثال لا الحصر - قسائم الوجبات أو القروض أو النقد أو الخصومات على أي منتج أو خدمات أو جوائز أو منتجات المرافق الأخرى أو الأسهم المالية ، والتذاكر، وبطاقات الهدايا، وبطاقات الخصم، وعلاقات التوظيف أو العلاقات الاستشارية.

2."Gift" *

is anything of value, including - but not limited to - meal vouchers, loans, cash, favorable terms or discounts on any product or service, services, equipment, prizes, products, transportation, use of vehicles, vacation or other facilities, stocks or other securities, home improvements, tickets, gift certificates, gift cards, discount cards, memberships and employment or consulting relationships.

3."تعارض المصالح" *

هو تعارض مصلحة الموظف الخاصة مع مصلحة الشركة بحيث تؤثر المصلحة الخاصة في قدرة الشخص على أداء واجباتهم ومسؤولياته الوظيفية والمهنية بموضوعية ونزاهة وحياد، سواء أكان التعارض فعليًّا أو ظاهريًّا أو محتملاً. للاطلاع على بعض أمثلة تعارض المصالح، يرجى مراجعة سياسة تعارض المصالح.

3."Conflicts of interest" *

The employee’s personal interest is in conflict with the interest of the Company where the private interest affects the person’s ability to perform their job, professional duties and responsibilities objectively and impartially, whether the conflict is actual, apparent or potential. For examples of actual or potential Conflict of Interest, please review the Conflict of Interest Policy.

4. "المعلومات السرية" *

أي معلومات تجارية أو تنافسية مهمة تتعلق بالعمل وشؤون الشركة، وتشمل معلومات الشركة المالية، الأملاك، الأصول، الموظفين. ويقصد بالمعلومات في النطاق العام بالمعلومات التي تم الكشف عنها للجمهور، أو بيان صحفي، أو مالي أو أي إفشاء عام نظامي آخر.

4. "Inside Information" *

is commercially or competitively sensitive information concerning the business and affairs of the Company, including information concerning the Company’s finances, properties, assets, employees. Information in the public domain means the information that has been publicly disclosed through a press release, a financial statement, or other public disclosure.

5. "البيانات الشخصية" *

كل بيان -مهما كان مصدره أو شكله- من شأنه أن يؤدي إلى معرفة الفرد على وجه التحديد، أو يجعل التعرف عليه ممكنًا بصفة مباشرة أو غير مباشرة، ومن ذلك: الاسم، ورقم الهوية الشخصية،وتاريخ الميلاد ، والعناوين، وأرقام التواصل، وأرقام الرُّخص والسجلات ،والممتلكات الشخصية، وأرقام الحسابات البنكية والبطاقات الائتمانية، وصور الفرد الثابتة أو المتحركة، وغير ذلك من البيانات ذات الطابع الشخصي

5. "Personal Data" *

is any information - regardless of its source or form - that specifically identifies an individual, or makes identification of an individual possible directly or indirectly, including: name, national ID number, date of birth, addresses, contact numbers, license and registration numbers, personal properties, bank account numbers, credit card numbers, still or moving images of an individual, and other personal data.

القسم 2- إقرار بالالتزام بميثاق السلوك المهني والأخلاقي

فيما يلي إقرار يتعلق ميثاق السلوك المهني والأخلاقي لشركة كدانة (الميثاق).

I will only use Personal Data ethically, lawfully, for the specific task and action it is collected for, and as per the requirements set out to conduct my role as assigned to me by my department.

1. أقر بأنه يجب علي تعبئة وتقديم هذا النموذج، حتى لو لم يكن لدي أي نشاط يستوجب الإفصاح.
2. أدرك بأنه في حال الإخفاق في الإفصاح عن البيانات المطلوبة أعلاه أو عن أي مصالح مالية أو مصلحة خاصة، أو في حال مخالفة سياسات الشركة فأنني سأتحمل منفرداً آثار تلك المخالفة، بما في ذلك أي عقوبة قد تفرض من الجهات الرقابية، وقد يؤدي كذلك إلى اتخاذ إجراء تأديبي بحقي قد يصل إلى إنهاء عقد العمل.
3. أقر بأن المعلومات والبيانات التي زَوُدتُ بها الشركة، على حد علمي، في هذا الإفصاح صحيحة وكاملة وحديثة، وأتحمل المسؤولية الكاملة عن هذه البيانات، وبهذا أؤكد بأنه ليس لديَّ أي شيء آخر أفصح عنه.
4. أقر بأنه في حال طرأت أي تغيُّرات على ظروفي أو على بيانات هذا الإفصاح كلياً أو جزئياً، سأقوم فوراً بإبلاغ الشركة وإخطار إدارة الحوكمة والالتزام المؤسسي بذلك خطياً وبدون تأخير.

I understand that failure to disclose the information requested above, any financial or private interest, or in case of violation of the Company’s policies means that I will solely bear the impact of such violation, including any sanction that may be imposed by regulatory authority, and may result in disciplinary action against me, which may lead to termination of the employment contract.
3. I hereby declare that all the information provided in this declaration, to the best of my knowledge, is accurate, up to date, complete and not misleading. I further hereby declare that I take full responsibility of the accuracy of the information and have nothing further to declare.
4. I agree to immediately report any relevant changes to any of the above disclosures, to the Governance & Corporate Compliance Department in writing, without any delay.
